1) Scope
1.1 These Terms and Conditions (hereinafter "T&Cs") of Arthro-Medican Ltd (hereinafter "Seller") apply to all contracts for the delivery of goods that a consumer or business (hereinafter "Customer") concludes with the Seller via the online shop. Any contrary terms of the Customer are hereby rejected unless otherwise agreed.

1.2 A consumer is any natural person who enters into a legal transaction for purposes that are predominantly not related to their commercial or self-employed professional activity. A business is a natural or legal person or a legal partnership that acts in exercise of their commercial or self-employed professional activity.

2) Conclusion of Contract
2.1 The product descriptions in the Seller’s online shop do not constitute binding offers but are intended to invite the Customer to make a binding offer.

2.2 The Customer may submit the offer via the integrated online order form. After placing the selected goods in the virtual shopping cart and completing the ordering process, the Customer submits a legally binding contract offer by clicking the final order button. Alternatively, the Customer can also submit the offer by telephone, fax, email, post, or online contact form.

2.3 The Seller may accept the Customer’s offer within five days by:

  • Sending a written order confirmation or an order confirmation in text form (email or fax);

  • Delivering the goods to the Customer;

  • Requesting payment from the Customer after order submission.

The contract is concluded when one of these options occurs first. If the Seller does not accept the offer within this period, the offer is deemed rejected.

2.4 For payment via PayPal, the contract is concluded immediately upon clicking the final order button, in accordance with PayPal’s terms and conditions.

2.5 After the contract is concluded, the Seller stores the contract text and sends it to the Customer in text form (e.g., email). If the Customer has created an account, the order data can be viewed in the customer account.

2.6 The Customer can detect and correct entry errors during the order process using standard keyboard and mouse functions and the browser zoom feature.

2.7 The contract language is exclusively German.

2.8 Order processing and communication typically occur via email. The Customer must ensure their email address is correct and capable of receiving messages from the Seller.

3) Right of Withdrawal
3.1 Consumers have a statutory right of withdrawal.
3.2 Details are provided in the Seller’s withdrawal policy.

4) Prices and Payment Terms
4.1 Unless stated otherwise, all prices include VAT. Additional delivery and shipping costs will be listed separately.

4.2 Available payment methods are communicated in the online shop.

4.3 For "PayPal Credit," the claim is assigned to PayPal, which may perform a credit check. The Seller retains responsibility for general customer inquiries.

4.4 For invoice payments, the amount is due within 7 days after delivery and invoicing.

4.5 For credit card payments via Stripe, the amount is due immediately. Stripe may conduct a credit check and reject payment in case of negative results.

5) Delivery and Shipping Conditions
5.1 Goods are shipped to the delivery address provided by the Customer.

5.2 If delivery fails due to the Customer’s fault, the Customer bears the additional costs.

5.3 Self-collection is not possible.

6) Retention of Title
The Seller retains ownership until full payment has been received.

7) Liability for Defects (Warranty)
7.1 Statutory warranty rights apply.

7.2 Customers are requested to report visible transport damage to the carrier and the Seller. Failure to do so does not affect warranty claims.

8) Redemption of Promotional Vouchers
8.1 Promotional vouchers can be redeemed only in the online shop within the stated validity period.

8.2 Specific products may be excluded from promotions.

8.3 Vouchers must be redeemed before checkout; retroactive use is not possible.

8.4 Multiple vouchers may be used in one order.

8.5 The order value must at least match the voucher amount; unused balance will not be refunded.

8.6 If the voucher value is insufficient, another payment method must be used.

8.7 Vouchers are not paid out in cash or interest.

8.8 If goods paid with vouchers are returned, the voucher is not refunded.

8.9 Vouchers are non-transferable. The Seller may verify ownership before redemption.

9) Applicable Law
The laws of the Federal Republic of Germany apply, excluding UN sales law. For consumers, this only applies if it does not restrict mandatory consumer protection provisions of their home country.

10) Alternative Dispute Resolution
10.1 The EU Commission provides an online dispute resolution platform at:
https://ec.europa.eu/consumers/odr

10.2 The Seller is neither obligated nor willing to participate in a dispute resolution procedure before a consumer arbitration board.
